2. Acceptance of Terms

By using our website or purchasing our services, you confirm that:

• You will provide accurate and complete information whenever requested.

3. Project Requirements

To ensure successful project delivery, clients are responsible for:

• Providing complete project requirements.
• Supplying all necessary content, images, branding materials, and documents.
• Reviewing and approving project milestones within a reasonable timeframe.
• Responding promptly to communication requests.

Delays in providing required information may result in changes to the agreed project timeline.

4. Project Timeline

Estimated delivery timelines are based on the approved project scope.

Delivery schedules may be extended due to:

• Delayed client feedback.
• Additional feature requests.
• Third-party service delays.
• Technical issues beyond our control.
• Changes in project requirements after development has begun.

BotNova will make every reasonable effort to complete projects on time.

5. Payments

Unless otherwise agreed in writing:

• An advance payment is required before project work begins.
• Remaining payments must be completed according to the agreed payment schedule.
• Delayed payments may result in suspension of work.
• Final project files or deployment may be withheld until all outstanding payments are cleared.

All prices are exclusive of applicable taxes unless otherwise stated.

6. Scope Changes

Any new functionality, design modifications, or additional work requested after project approval will be considered a Change Request.

• Increase project cost.
• Extend project timelines.
• Require a revised quotation.

Additional work will begin only after mutual approval.

7. Intellectual Property

Upon full payment:

• Ownership of the completed project will be transferred to the client unless otherwise agreed.
• BotNova retains ownership of reusable code, frameworks, templates, libraries, internal tools, and development methodologies.

Clients may not resell or redistribute proprietary development assets without written permission.

8. Client Responsibilities

• Provide lawful content only.
• Ensure ownership or permission to use all submitted content.
• Avoid requesting illegal or copyrighted material.
• Maintain backups of important project data.

BotNova is not responsible for client-provided content.

9. Third-Party Services

Some projects may require third-party services including:

• Domain Registration
• Web Hosting
• Payment Gateways
• SMS & Email APIs
• Google Services
• Cloud Platforms
• Maps APIs
• Software Licenses

Charges for these services are separate unless specifically included in the quotation.

BotNova is not responsible for outages, policy changes, or interruptions caused by third-party providers.

10. Website Maintenance

Unless covered under a maintenance agreement, the following services may be charged separately:

• Future Updates
• Content Changes
• Feature Additions
• Security Updates
• Bug Fixes After Project Completion

11. Warranty

We provide a limited warranty for technical issues directly related to our development work for the period agreed upon in the project contract.

The warranty does not cover:

• Client-made modifications.
• Third-party plugin or theme issues.
• Hosting server problems.
• External software conflicts.
• Security breaches caused by weak passwords or client negligence.

12. Limitation of Liability

BotNova shall not be liable for:

• Business losses.
• Loss of revenue or profits.
• Data loss caused by third-party systems.
• Service interruptions outside our control.
• Indirect or consequential damages.

Our total liability shall not exceed the amount paid by the client for the specific service.

13. Confidentiality

Both BotNova and the client agree to keep confidential information, business data, source code (where applicable), and project details private unless disclosure is required by law or mutually agreed upon.

14. Prohibited Use

Users may not use our website or services to:

• Violate applicable laws.
• Spread malware or harmful software.
• Attempt unauthorized access to systems.
• Engage in fraudulent activities.
• Infringe intellectual property rights.
• Distribute spam or abusive content.

Violation of these Terms may result in immediate suspension or termination of services.

15. Cancellation

Either party may cancel a project by providing written notice.

If cancellation occurs:

• Payment is due for all completed work up to the cancellation date.
• Non-refundable third-party expenses remain payable by the client.
• Completed deliverables may be released after settlement of outstanding payments.

16. Termination of Services

BotNova reserves the right to suspend or terminate services if:

• Payments remain overdue.
• Clients engage in abusive or unlawful behavior.
• Clients violate these Terms & Conditions.
• Continued work becomes commercially or legally impractical.

17. Privacy

Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, store, and protect your information.

18. Governing Law

These Terms & Conditions shall be governed and interpreted in accordance with the laws of India.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.

BotNova reserves the right to modify these Terms & Conditions at any time.
